Below is an excerpt from ISS’ recently released report “In Focus: Board Elections and Executive Compensation in the 2023 U.S. Proxy Season”. The full paper is available for download from the ISS Governance online library.
As of June 15, 2023, median shareholder support for board nominees at Russell 3000 Index companies had declined slightly, while the number of directors who failed to receive majority support also dropped compared to the same period in 2022 and 2021. As for executive compensation, with the uncertainties arising from the pandemic now in the rearview mirror, the number of say-on-pay failures dropped significantly, returning to the lower levels typically seen pre-pandemic. However, average support levels continued a downward trend.
